Party A hereby appoints party B as its Sole agent of the products mentioned below as per the following terms and conditions:

A方按照如下条款指定B方作为其以下所述商品的独家区域代理商.

1．Products: 产品：P.O.P  Exterior Screeding Paint. 金斯盾外墙防水材料

2. Territory:代理区域  In  Nigeria.  尼日利亚

6．Price: 价格

Party A and Party B will negotiate the prices of the products at the beginning of every year. Once confirmed, the prices of the product will be valid within one year ( except for the force majeure).

关于产品价格，双方每年谈判确认一次以便确保价格的竞争优势。

8.Use of Trade Marks:商标的使用

Party A is solely authorized to use Party B’s (“SIL” Brand) trade marks during validity and subsequent renewal of agreements. Party A and Party B shall not authorize any other party in the above territory to use this “ SIL” trade marks for same/similar products, during validity and subsequent renewal of agreements. 

A方在合同期内有权使用合同产品商标（SIL）。在该协议终止后，A方的将不再被授权所有合同产品商标（SIL）。

9.Warranty:保质期

Warranty for the products shall be 18 months. 商品的保质期应为18月。The production Quality must be sure the same Quality like Samples gave Mr.UCHE in China.

生产交货的质量必需跟外商在工厂确认的样板一样。

10. Responsibilities :责任：

Party A will provide some support to Party B to facilitate attendance.

B方应积极开拓市场扩大销量。如需参展，A方应向B方提供参展支持。A方负责质量保证，达到出口要求，进行必要包装的改进，以满足市场需求。

10.3 Part C will protect all agreement, as to the Quantity, Quality ,type of Items and deliver time agreed.

C 方应保证和监督协议的执行，例如数量，质量，品种，交货期等.

10.5 Part C will Transport all the Products /Items purchased and transport to Nigeria.

C 方将负责运输货物到尼日利亚。

12.Terms of Payment :付款条款:

Party B will send money by T/T  Bank. 按双方确认的付款方式付款.

仲裁:

In case of breach of any of the Articles of this agreement by either of the parties,both can solve through negotiation . Otherwise it will be arbitrated by China Council for the Promotion of International Trade (C.C.P.I.T.). The arbitral award is final and binding upon the two parties.

假如任何一方违反此协议的任一条款，双方协商解决；否则，交由中国贸促会仲裁，此为最终裁决。 

15.  Number of Original Sets of Agreement : 协议原件的数量:

This agreement which should be certified has 3 ( Three ) original  sets  to be signed by 3 parties and one signed original set shall be retained by each party.

此认证协议为一式三份，由三方签署，每方各执一份。
